General Terms and Conditions (GTC)
1. Scope of Application
These General Terms and Conditions (hereinafter “GTC”) apply to all service and business relationships between R-Print Systems GmbH (hereinafter “Provider”) and the customer (hereinafter “Customer”), in particular for maintenance, repair, spare parts supply, and the sale of used printing systems. These GTC apply exclusively to entrepreneurs within the meaning of § 14 BGB (German Civil Code) (businesses, legal entities under public law, or special funds under public law). Deviating terms and conditions of the Customer are not recognized unless the Provider expressly agrees to their validity in writing.
2. Conclusion of Contract
Offers presented on this website are non-binding invitations to submit inquiries. A binding contract is only concluded when the Provider confirms the Customer's order or inquiry in writing (including by e-mail) or begins to perform the service. All offers are subject to change and non-binding until confirmed.
3. Prices and Payment
All prices are net prices plus the applicable statutory value added tax, unless otherwise agreed in writing. Invoices are due and payable within 14 days of the invoice date without deduction, unless a different payment term has been agreed. In the event of late payment, the Provider is entitled to charge default interest at the statutory rate applicable to commercial transactions.
4. Scope of Services
The scope of services to be provided results from the respective written offer or order confirmation. Any additional services require a separate written agreement. The Provider reserves the right to use qualified subcontractors for the performance of services.
5. Retention of Title
Delivered goods remain the property of the Provider until full payment of all outstanding claims from the business relationship. The Customer is not entitled to pledge or assign as security goods subject to retention of title.
6. Warranty and Defects
For defects in delivered goods or services, the Provider shall at its discretion provide subsequent performance by remedying the defect or delivering a defect-free replacement. The warranty period for services is 12 months from acceptance; for sold goods, the statutory warranty period applies. Claims for defects are excluded for defects caused by improper use, normal wear and tear, or unauthorized modifications by the Customer.
7. Limitation of Liability
The Provider is fully liable for damages resulting from intent or gross negligence. In cases of slight negligence, the Provider is only liable for breaches of essential contractual obligations (cardinal obligations) that jeopardize the achievement of the purpose of the contract, limited to the foreseeable, contract-typical damage. Liability for indirect damages, loss of profit, or consequential damages is excluded to the extent permitted by law. This limitation of liability also applies to the personal liability of employees, representatives, and vicarious agents of the Provider.
8. Confidentiality
Both parties undertake to treat confidential information of the other party as confidential and not to disclose it to third parties without consent. This obligation shall continue to apply for a period of three years after termination of the contractual relationship.

10. Applicable Law and Place of Jurisdiction
The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
The exclusive place of jurisdiction for all disputes arising from or in connection with this contractual relationship is the registered office of the Provider (Dexheim, Germany), provided the Customer is a merchant, a legal entity under public law, or a special fund under public law.
11. Severability Clause
Should individual provisions of these GTC be or become invalid or unenforceable, the validity of the remaining provisions shall not be affected. The invalid provision shall be replaced by a legally permissible provision that comes closest to the economic purpose of the invalid provision.
